Brinker International Announces Private Offering of Senior Notes – PR Newswire


DALLAS, June 20, 2023 /PRNewswire/ — Brinker International, Inc. (NYSE: EAT) (the “Company”) today announced that it intends to offer $350 million aggregate principal amount of senior unsecured notes due 2030 (the “Notes”) in a private offering to eligible purchasers.

The Notes will be guaranteed on a senior unsecured basis by each of the Company’s subsidiaries that guarantee its revolving credit facility. Net proceeds from the offering of the Notes are expected to be used to repay a portion of the outstanding indebtedness under the Company’s revolving credit facility. Any remaining net proceeds are expected to be used for general corporate purposes.

Consummation of the offering of the Notes is subject to market and other conditions, and there can be no assurance that the transaction will be successfully completed on the terms described above, or at all.

The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”) or any state securities laws, and may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption from such registration requirements. Accordingly, the Notes will be offered and sold only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and to non-U.S. persons in offshore transactions outside the United States in accordance with Regulation S under the Securities Act.
